The company was formed as a result of two mergers: in March 2006, through the merger of NTL and Telewest, which created NTL: Telewest, and later merged the company with Virgin Mobile UK.

In December 2005, after the merger of two UK's largest cable providers, NTL and Telewest, the company announced the launch of talks with Virgin Mobile UK on the merger of both companies. Virgin Mobile has rejected the first bid of £ 817m, saying NTL: Telewest is underestimating the value of its business. Richard Branson expressed his conviction that the offer after the amendment could be accepted. In January 2006, NTL: Telewest offered £ 961m, and on April 4 of that year the rate was again raised to £ 962.4m.
