Prokur (procurare, lat. procurare) - a special type of power of attorney for a person with full legal capacity (proxy), which any entrepreneur may enter into the register of entrepreneurs (in the National Court Register or Central Register and Information on Business Activity). The prosecutor shall authorize the conduct of activities (court and extra-judicial) connected with running the enterprise. These actions exclude the transfer and encumbrance of the company and of the real estate to which a specific power of attorney is required.
Proxies can not be transferred to another person, but the proxy may give another person a power of attorney to a particular category of activity or specific to a particular activity.
Entities authorized to grant a proxy may also grant ordinary mandates.

In partnership companies, the consent of all shareholders having the right to run company affairs is required in a partnership.
A statement by a shareholder or a member of the board is sufficient for the cancellation of a proxy.
Prokura expires as a result of the deletion of the entrepreneur from the register, as well as bankruptcy, opening of liquidation and transformation of the entrepreneur and the death of the proxy. Partial or total loss of legal capacity will also result in the expiration of the proxy.
The Prokura is currently regulated in art. 109 - 109 of the Civil Code.
